Welcome to Spektre. These Terms of Service ("Terms") govern your access to and use of the website and platform provided by Spektre B.V. ("Spektre," "we," "us," or "our"), a private company with limited liability established under the laws of the Netherlands.

1.2 If you have entered into a separate written agreement with us (such as a Master Services Agreement or MSA) regarding specific services, the terms of that separate agreement shall prevail in the event of a conflict with these Terms.

2. USE OF SERVICES

2.1 Eligibility: You represent that you have the authority to bind the entity on whose behalf you use our Services (e.g., your employer).

2.2 Account Security: If you are granted access to a dashboard or account, you are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately of any unauthorized use of your account.

2.3 Prohibited Use: You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code or proprietary scoring models of the software.

  • Use the Service for any unlawful purpose or to solicit others to perform or participate in any unlawful acts.

  • Interfere with or circumvent the security features of the Service.

3. INTELLECTUAL PROPERTY

3.1 Spektre IP: All content, features, and functionality on this website, including but not limited to our proprietary scoring algorithms, code, design, text, graphics, and logos are the exclusive property of Spektre B.V. and are protected by international copyright, trademark, and trade secret laws.

3.2 License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service strictly in accordance with these Terms.


4. DATA & PRIVACY

4.1 Privacy Policy: Your use of the Service is also governed by our Privacy Policy, which explains how we collect, safeguard, and disclose information that results from your use of our web pages.

4.2 Non-Personal Data: As a core part of our Service, we analyze aggregated campaign data. We do not knowingly process personal data (PII) of end-users targeted by your campaigns.

5. DISCLAIMERS

5.1 "As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Spektre makes no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, or materials included therein.

5.2 No Guarantee of Results: While our models typically identify efficiency improvements (often in the 10-30% range), Spektre does not guarantee specific financial savings, performance metrics, or campaign results. You remain solely responsible for your media buying decisions.

6. LIMITATION OF LIABILITY

6.1 To the fullest extent permitted by Dutch law, Spektre B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service;

  • Any conduct or content of any third party on the Service;

  • Unauthorized access, use, or alteration of your transmissions or content.
    6.2 In no event shall Spektre’s aggregate liability exceed the amount you have paid us in the past six (6) months, or one hundred euros (€100) if you have not had any payment obligations.

7. THIRD-PARTY LINKS

Our Service may contain links to third-party websites (e.g., DSP login pages) that are not owned or controlled by Spektre. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites.

8. TERMINATION

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

9. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam.

10. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
